  1. Darrel, thank you for such another great video, top notch explanation. The document has been created by a guy in the UK, for the legal system in England, Scotland and Wales. Therefore all the spelling mistakes that you are referring to are not spelling mistakes as this is how the words are spelt in British English.

  2. You need to checkout the spelling norms for different versions of English. Fulfil and Organisation are both spelt correctly for non-US versions of English (i.e. most of the English-speaking world). The use of the correct spelling norms for the different versions of English could be important when it comes to court.

    Also remember that some countries, like France, require that the contract is written in the language of the country.

  3. Frankly I find Docusign and other online document systems to be a pain in the a** . In a world of smart phones it is MUCH easier to tell the client to sign the contract (and optionally initial and date each page) and just take pics of each page and send them back by email or even an attachment to a message.

    The contract you are suggesting be used … which I really love … is so nice and informal. Why push your client into using such an intimidating online signature service?

    I know the online signature services have been validated by the courts …. but I still like the feeling of a REAL "wet" signature (even if it is only a digital copy of that wet signature). And besides telling my client to just send me a pic of the signed agreement just seems so Informal… while being indisputably legally binding. Anything I can do to relax my client while setting up our working arrangement I'm all for.

    One last thing… on question of jurisdiction your agreement should ALWAYS include a clause stating that any disputes will be done in YOUR local court (or the local federal court if applicable). You NEVER want to be in a situation where a client could file a legal claim against you in THEIR local court…and you end up traveling there. Oh… and of course there should be a clause arawding REASONABLE and CUSTOMARY attorney fees to the prevailing party if there is any litigation
